Sells European rights for 115 billion won and focuses on the United States; PDUFA date in December 2026 aligns with listing timing

Swedish immunology-focused biopharmaceutical company Hansa Biopharma has officially begun the process of pursuing a Nasdaq listing by confidentially submitting a preliminary filing, Form F-1, to the U.S. Securities and Exchange Commission (SEC) for the issuance of American depositary shares (ADSs). The company will cross-list on Nasdaq while maintaining its existing Stockholm listing, with the primary goal of securing funding to commercialize its lead drug, Idefirix, in the U.S. market.
Idefirix, whose active ingredient is imlifidase, is the world's first enzyme therapy to rapidly break down immunoglobulin G (IgG) antibodies in highly sensitized patients before kidney transplantation, thereby preventing transplant rejection. It is already marketed in Europe under conditional approval, while the FDA has designated it for priority review of its biologics license application (BLA) in the United States. The FDA's scheduled date for a final decision is December 19, 2026, making it the key valuation catalyst coinciding with the Nasdaq listing timing.
■ Surrendering European rights to focus resources on the United States
In May 2026, Hansa Biopharma signed an exclusive licensing agreement with SERB Pharmaceuticals for Idefirix in Europe and the Middle East and North Africa (MENA) region for a total of 115 million euros (approximately $133.6 million). The upfront payment alone amounts to 110 million euros. Rather than retaining the burden of commercialization in Europe, the company has made a strategic choice to secure substantial cash in advance and concentrate its resources on the U.S. launch.
This structure was effectively necessary because Hansa Biopharma must finance commercialization costs itself after FDA approval in the United States. In the phase 3 ConfIdeS trial, the company confirmed a statistically highly significant result for improved kidney function at 12 months (p < 0.0001), and the likelihood of approval itself is therefore viewed positively. If approved, Idefirix would effectively be the only option for highly sensitized patients awaiting kidney transplantation in the United States.
■ A clear trend of European biotech companies heading to Nasdaq
Hansa Biopharma's move is an individual corporate decision, but it also reflects a broader trend across Europe's biotech industry. The global biotech IPO market is rebounding in 2026 after several years of stagnation, and the so-called “Delaware flip” phenomenon—in which European biotech companies cross-list on Nasdaq in search of abundant liquidity—is becoming more pronounced. Market conditions are favorable, with Kymera Therapeutics, for example, completing a large $625 million listing in the first quarter of 2026 alone.
Craig Hiltz, a partner at global law firm Sidley Austin, offered a positive assessment of the reopening of the public offering market, saying, “The recent surge in M&A among biotech companies is significantly encouraging investors' willingness to invest in IPOs and supplying liquidity.” Industry experts believe this trend is likely to continue in the second half of 2026.
Idefirix is also drawing attention for its potential expansion into indications beyond kidney transplantation. As a pretreatment to remove neutralizing antibodies from patients receiving adeno-associated virus (AAV)-based gene therapies, it is being studied in collaborative clinical trials with companies including Sarepta Therapeutics. Hansa Biopharma plans to use funds raised through the Nasdaq listing to accelerate development of its next-generation enzyme therapy HNSA-5487 and expand indications in the gene therapy field.
Ultimately, the success of Hansa Biopharma's Nasdaq listing and its valuation are expected to depend heavily on the FDA's final approval decision on December 19, 2026. Whether its two-track strategy—securing financial stability through the sale of European rights and improving access to U.S. biotech-focused investors through a Nasdaq listing—will translate into tangible results will be determined by the FDA review outcome.
