Market capitalization below 20 billion won for 25 trading days, nearing the designation threshold; seeks a breakthrough through entry into 170 countries with Silicontou and development of a hair-loss cell therapy

As Lee Sang-jun, an unregistered executive director at Frombio, retired and sold all 1,382 shares he held, the company was found to be facing the risk of being designated as a management issue stock on the KOSDAQ. According to the Electronic Disclosure System (DART) on the 18th, Lee disclosed that he had sold 1,382 common shares on the 11th because of his retirement as an executive. Following the sale, his holdings fell from 1,382 shares (0.02%) in the previous report to zero shares (0%), and his reporting obligation ended with his retirement. This internal change at a KOSDAQ-listed company with 5.662 million shares outstanding has heightened market concerns as it coincides with a prolonged decline in the share price.
Prolonged market capitalization below 20 billion won puts company on management-issue countdown
Under Article 53 of the KOSDAQ Listing Regulations of the Korea Exchange, a company is designated as a management issue stock if its market capitalization remains below 20 billion won for 30 consecutive trading days. As of Sept. 17, Frombio had already remained below a market capitalization of 20 billion won for 25 trading days and was nearing the designation threshold. With only five trading days remaining, the designation could become a reality unless the company raises its share price in the short term.
Financial investment industry officials point out that designation as a management issue stock is a serious matter that could accelerate institutional investor withdrawals and have a devastating effect on the company’s ability to raise funds. Analysts also say that the retirement of an unregistered executive and the sale of all of the executive’s shares during this period of crisis could negatively affect investor sentiment.
Targets turnaround through distribution network in 170 countries and hair-loss treatment
Frombio is pursuing an aggressive strategy to overcome the limitations of the domestic market and its weak share price. On Aug. 24, it signed a supply agreement with Silicontou, a global K-beauty distribution platform company, securing a sales channel for 35 of its health functional food products in more than 170 countries worldwide, including North America and Europe. A Frombio official said, “Our cooperation with Silicontou, which has secured global distribution hubs, will serve as an opportunity to introduce our high-quality products to the global market,” adding, “We plan to diversify our country-specific, locally tailored portfolio and accelerate our overseas business overall.”
It is also seeking a breakthrough in the biotechnology sector. The company is accelerating preclinical development of a hair-loss cell therapy using human adipose-derived mesenchymal stem cells. It has secured 10 related domestic patents and is pursuing six PCT international applications. If development proceeds smoothly toward the goal of submitting an investigational new drug (IND) application in 2027, some assess that the company has the potential to be revalued as a global biotechnology company rather than merely a health functional food manufacturer.
Short-term share-price defense is top priority
Frombio’s most urgent task is to restore its market capitalization to the 20 billion won level and avoid designation as a management issue stock. Attention is focused on whether the company will introduce shareholder-friendly policies or short-term performance improvement measures to restore market confidence as internal changes, including executive departures, continue.
Over the medium to long term, attention will focus on whether the market adoption of recently launched new products, including the whole-family probiotic “Family 365 Biome,” and overseas export performance through Silicontou can begin to be fully reflected in the financial statements from the second half of 2026. The next five trading days are expected to be a watershed moment for Frombio as it seeks to expand beyond K-beauty into K-health and K-biotechnology and turn its current crisis into a turning point for growth.
