Parent company HLB increases stake from 7.6% to 13.5%; 6.1 million new shares subject to 1-year lockup to prevent overhang

HLB Therapeutics announced on the 31st that it had completed payment for a third-party allotment rights offering of 6,103,185 common shares at 1,832 won per share, raising a total of 11.18103 billion won. The allottee was not an outside investor but HLB, the company’s largest shareholder. The offering’s core purpose was not simply to raise funds but to convert debt into equity, or a debt-to-equity conversion.
HLB Therapeutics issued convertible bonds (CBs) totaling 11 billion won to its parent company, HLB, in 2024 and 2025. After early redemption of the CBs was recently requested, the company chose to settle the debt by issuing new shares instead of repaying it in cash. This prevented a cash outflow of more than 10 billion won, preserved liquidity needed for clinical trials and also reduced the debt ratio.
Financial impact of the debt-to-equity conversion and stronger control by the parent company
The decision to issue the shares was first approved by the board on the 6th, and the company disclosed the decision twice, on the 7th and 21st. With the debt-to-equity conversion completed, HLB’s stake in HLB Therapeutics will rise substantially from approximately 7.6% to approximately 13.5%. In effect, the parent company has nearly doubled its control over the subsidiary.
Industry experts said, “For HLB Therapeutics, the transaction improves its financial structure by settling debt without a large cash outflow.” However, analysts also noted that dilution of existing shareholders’ stakes is unavoidable because the newly issued shares account for approximately 6.45% of the total shares outstanding after the offering.
Phase 3 trial of RGN-259, results expected in 2026
All of the new shares will be subject to a 1-year lockup with the Korea Securities Depository, and the scheduled listing date is Sept. 16. Because more than 6.1 million shares will not enter the market for 1 year, the short-term overhang risk has been contained.
The key factor determining HLB Therapeutics’ medium- to long-term corporate value is the global phase 3 SEER-2 trial of RGN-259, a candidate treatment for neurotrophic keratitis (NK), being conducted by its U.S. subsidiary ReGenTree. Patient enrollment has been completed at a total of 50 medical institutions, including 41 in the United States and 9 in Europe, and the product has been designated an orphan drug by the U.S. FDA. Top-line results are scheduled to be announced in November 2026.
Second-half variables for the HLB Group as a whole
Parent company HLB is also awaiting a decision in September 2026 on whether the FDA will approve lirafugratinib, a treatment for cholangiocarcinoma. With global drug-development milestones for the second half of the year concentrated across the HLB Group, the results of the two pipelines are expected to directly affect HLB Therapeutics’ share price and business development. As the debt-to-equity conversion has secured the subsidiary’s financial stability, market reaction to the clinical results is expected to draw even greater attention.
