6.3 million shares to be issued at indicative price of 4,980 won 200 billion won for debt repayment and 10.6 billion won for operating expenses

Vuno has decided to raise 31.3 billion won through a paid-in capital increase.
Vuno disclosed that its board of directors met on the 28th and approved a rights offering of 6.3 million common shares, followed by a public offering of unsubscribed shares.
The indicative issue price is 4,980 won per share, for total proceeds of approximately 31.374 billion won. The final issue price is scheduled to be set on Nov. 4.
The company plans to use the proceeds for debt repayment of 20 billion won, operating expenses of 10.624 billion won and other purposes totaling 750 million won.
The record date for determining shareholders eligible for the new shares is Oct. 2. Each existing share will be allocated 0.4499414112 new shares.
Subscriptions by existing shareholders will take place from Nov. 9 to 10, followed by a public offering from Nov. 12 to 13. Payment is due Nov. 17, and the new shares are scheduled to be listed on Nov. 30.
Subscription rights certificates are scheduled to be listed on the Korea Exchange from Oct. 23 to 29. Hanyang Securities will handle trading and brokerage of the certificates.
Hanyang Securities is the lead manager. LS Securities and SK Securities will participate as underwriters, with underwriting obligations of 60% for Hanyang Securities, 20% for LS Securities and 20% for SK Securities.
The issue price will be calculated by applying a 25% discount to the lower of the reference price and the closing price on the base date. The reference price is the arithmetic average of the volume-weighted average prices for one month and one week before the base date, which is the trading day immediately before the board resolution date, and the closing price on the base date.
The final issue price will be the lower of the first and second issue prices. However, if that amount is lower than the price calculated by applying a 40% discount to the volume-weighted average price from the third to fifth trading days before the subscription date for existing shareholders, that discounted price will be the final issue price.
The dividend record date for the new shares is Jan. 1, 2026. The offering is subject to a securities registration statement, and short selling is prohibited from Aug. 29 to Nov. 4.
The rights offering plan may change during consultations with relevant authorities or the review of the securities registration statement.
