129,000-plus common shares converted as the redeemable convertible preferred shares reached maturity, eliminating overhang risk; capital structure simplified ahead of Phase 3 trials of a GLP-1 innovative drug candidate

JW Holdings converted redeemable convertible preferred shares (RCPS) into common shares, increasing its stake to 44.18%. The conversion followed the expiration of the agreed holding period and is viewed as both simplifying the capital structure and further solidifying the controlling shareholder’s management control.
Details and background of the stake conversion
JW Holdings disclosed in a report on the ownership status of specific securities held by executives and major shareholders on the 17th that it owns 11,102,752 common shares of JW Pharmaceutical. Its stake is 44.18%. Compared with the 10,870,683 shares, or 43.65%, reported as of Feb. 7, 2024, in the previous filing, the company’s holdings increased by 232,069 shares, while its stake rose by 0.53 percentage points.
The change resulted from the conversion of redeemable convertible preferred shares into common shares. Following the expiration of the holding period on the 10th, the contractual terms and a conversion ratio of 121.82% were applied, converting 1,063,535 redeemable convertible preferred shares into 1,295,604 common shares. In the process, the number of preferred shares held fell sharply from 1,071,078 to 7,543. JW Pharmaceutical has 25,133,458 shares outstanding.
This conversion was not the result of a sudden strategic shift but a natural step following the expiration of the preferred shares’ holding period on Sept. 10, 2026. Market attention has focused on the transaction because the absorption of a large number of preferred shares into common shares eliminates uncertainty over a potential overhang, or a large volume of shares that could be sold.
Drug pipeline built on a stable cash cow
JW Pharmaceutical has a firm position as the No. 1 company in South Korea’s intravenous-fluid market and a stable revenue base from prescription drugs, including the hyperlipidemia treatment Livalo. More recently, it has maintained its cash-generating capacity in South Korea by expanding co-marketing of the dyslipidemia treatment Atozet with Boryung and Organon Korea. It is also a key partner in South Korea for global pharmaceutical companies including Roche and Organon.
Revenue generated in South Korea is a key source of funding for operating the company’s global research and development network, including JW Theriac in Seattle and C&C Research Laboratories, a joint venture with Roche Group’s JW Pharmaceutical. Domestic securities analysts have said the company’s current share price has entered an attractive range relative to its intrinsic value, considering its long-term growth potential from the expansion of its drug pipeline, which began in earnest in 2024-2025, and its entry into the biosimilar business.
In particular, JW Pharmaceutical recently applied to South Korea’s Ministry of Food and Drug Safety for approval of a Phase 3 clinical trial plan for bofanglutide, a treatment for type 2 diabetes. The drug is a candidate innovative therapy in the GLP-1 agonist class, which has drawn attention in the global pharmaceutical market, and is designed to maximize patient convenience by reducing dosing from once weekly to once every 2 weeks. The trial is scheduled to enroll a total of 174 participants and run from January 2027 through February 2029.
Global expansion test after management stabilization
With the controlling shareholder’s influence strengthened and the capital structure reorganization completed, JW Pharmaceutical is expected to focus its companywide capabilities on developing global innovative cancer and immune-disease treatments targeting the Wnt and STAT signaling pathways. Whether it can complete its business-model transition from a local leader to a global drug developer will be a key factor determining the company’s future value.
The global pharmaceutical industry is expected to closely watch the progress of bofanglutide’s Phase 3 trial, which is scheduled to begin in earnest in early 2027. If the company adds licensing-out achievements with multinational pharmaceutical companies to its solid pipeline, the results could provide momentum for JW Pharmaceutical’s corporate value to advance to the next level, according to expectations.
