4.796 million common shares to be issued through third-party allotment at 2,085 won per share All proceeds to be used for operating expenses

Celiid has decided to raise 10 billion won through a third-party allotment of new shares. Once payment is complete, Huniverse Global will become its largest shareholder.
Celiid disclosed on the 22nd that its board of directors had resolved at a meeting on the 21st to issue 4,796,163 new common shares through a paid-in capital increase. The issue price is 2,085 won per share, for total proceeds of 9,999,998,550 won.
The capital increase will be conducted through a third-party allotment, with Huniverse Global subscribing for all the new shares. Celiid said, “Upon completion of payment, Huniverse Global is expected to become the largest shareholder (for the purpose of participating in management).”
The issue price was set at a 10% discount to the reference price of 2,316 won. The reference price was calculated using the lower of the arithmetic average of the weighted arithmetic average share prices for the one-month period, one-week period and most recent day ending on the day before the board resolution date, and the weighted arithmetic average share price for the most recent day.
All proceeds will be used for operating expenses. Celiid plans to allocate 4.999 billion won in 2027 and 5 billion won from 2028 onward to operating expenses and other costs needed to run the company.
The payment date for the new shares is Nov. 9, and the expected listing date is Nov. 30. All the shares will be subject to a one-year lockup. The company was exempt from filing a securities registration statement because the issuance is a private placement subject to a one-year lockup.
Huniverse Global is a corporation led by CEO Lee Sang-heon, and its largest shareholder is Korea University Medical Technology Holdings (37%). Based on its 2025 year-end financial statements, the company had total assets of 8.924 billion won and total equity of 814 million won.
